E-Book Franchise Empire reserves the right to refuse service, terminate accounts, and/or cancel orders at its discretion, including, without limitation, if E-Book Franchise Empire believes that the customer’s conduct violates applicable law or is harmful to E-Book Franchise Empire's interests.

You shall not upload to, distribute, or otherwise publish through this site any content, information, or other material that(a) violates or infringes the copyrights, patents, trademarks, service marks, trade secrets, or other proprietary rights of any person;(b) is libelous, threatening, defamatory, obscene, indecent, pornographic, or could give rise to any civil or criminal liability under international law; or(c) includes any bugs, viruses, worms, trap doors, Trojan horses, or other harmful code or properties.

E-Book Franchise Empire may assign you a password and account identification to enable you to access and use certain portions of this Site. Each time you use a password or identification, you will be deemed to be authorized to access and use the site in a manner consistent with the terms and conditions of this agreement, and E-Book Franchise Empire has no obligation to investigate the authorization or source of any such access or use of the Site.

You will be solely responsible for all access to and use of this site by anyone using the password and identification originally assigned to you, whether or not such access to and use of this site is actually authorized by you, including, without limitation, all communications and transmissions and all obligations (including, without limitation, financial obligations) incurred through such access or use. You are solely responsible for protecting the security and confidentiality of the password and identification assigned to you. You shall immediately notify E-Book Franchise Empire of any unauthorized use of your password or identification or any other breach or threatened breach of this site’s security.

Training Course & Academy

1. DEFINITION AND INTERPRETATION

In these Terms, unless the context otherwise requires, the following expressions shall have the following meanings:

Agreement refers to a contract between the Customer and E-Book Franchise Empire for the purchase of Training.

Charges refers to the charges payable by the Customer for the Training, in accordance with clause 5 (Charges and Payment).

Customer refers to the person who is purchasing the Training from E-Book Franchise Empire.

Training refers to training services provided by E-Book Franchise Empire to the Customer, which is conducted either at a physical location or online.

Training Materials refers to any materials or documents provided or loaned by E-Book Franchise Empire and includes both hard copies, soft copies, and downloadable soft copy materials.

2. ACCEPTANCE OF BOOKING

(a) Once a booking is accepted, a confirmation will be sent by E-Book Franchise Empire to the Customer in the manner as may be decided by E-Book Franchise Empire.

(b) Customer shall make payment upon E-Book Franchise Empire's request before the confirmation will be sent.

3. SUPPLY OF THE TRAINING

3.1 E-Book Franchise Empire reserves the right to vary training dates, training presenters, or cancel training at any time, without incurring additional liability to the Customer. In such a situation, the Customer will be informed of the change prior to the training and will be entitled to cancel if they so choose, without penalty.

4. CUSTOMER’S OBLIGATIONS

4.1 Without the express written permission from E-Book Franchise Empire, Customers who have attended the full course shall not:

(a) transfer or share their account or seats with others;

(b) record the Training in any way;

(c) reproduce, scan, or copy, alter, modify, translate (in each case, whether in whole or in part) the Training Materials, except for the sole purpose of completing the Training under the permission of E-Book Franchise Empire; or

(d) upload any content to any individual or any party who did not subscribe to the course.

4.2 E-Book Franchise Empire reserves the right to revoke the membership and entitlement of the Customer who is in breach of this Agreement.

4.3 E-Book Franchise Empire also reserves the right to take legal action against such Customer who is in breach of this Agreement.

5. CHARGES AND PAYMENT:

5.1 All Training shall be paid in the manner as agreed or determined by E-Book Franchise Empire.

5.2 For bookings completed online, the Customer shall make payment in accordance with the directions provided on the website to E-Book Franchise Empire.

5.3 Failure by the Customer to pay any Charges when they fall due may (at E-Book Franchise Empire's discretion) result in:

(a) the allocation of the Customer’s place in the Training to others with no compensation to the Customer; or

(b) E-Book Franchise Empire canceling its Agreement with the Customer to provide the Training without incurring any liability.

5.4 Without prejudice to any other right or remedy that it may have, if the Customer fails to pay to E-Book Franchise Empire any sum due under this Agreement on the due date, the Customer shall pay interest on the overdue sum from the due date until payment of the overdue sum, whether before or after judgment. Interest under this clause will accrue daily at a rate of 5% per year or the highest rate allowed under the law, whichever is lower, without prejudice to E-Book Franchise Empire’s right to execute clause 5.3.

5.5 All sums payable to E-Book Franchise Empire under this Agreement:

(a) are exclusive of goods and services tax, sales and services tax, value-added tax, and other like taxes (but not including such taxes levied on E-Book Franchise Empire as corporate income taxes), and the Customer shall, in addition, pay an amount equal to any taxes chargeable on those sums, as determined by the tax authorities.

(b) shall be paid in full without any set-off, counterclaim, deduction, or withholding (other than any deduction or withholding of tax as determined by E-Book Franchise Empire.

5.6 All payments made by Customer are NON-REFUNDABLE, despite the Training not being attended by Customer unless the Training is canceled by E-Book Franchise Empire.

6. LIMITATIONS OF LIABILITIES

E-Book Franchise Empire shall not have any liability to the Customer for any losses or taxes to or of, or payable by any Customer arising out of or in connection with or related to the performance of the Training, and the Customer shall indemnify and keep E-Book Franchise Empire indemnified against all claims, fines, penalties, demands, proceedings, costs, and expenses whatsoever, which may be incurred or suffered by E-Book Franchise Empire in connection with or related to the performance of the Training.

7. TERMINATION

Without affecting any other right or remedy available to it, E-Book Franchise Empire may terminate the Agreement with immediate effect by giving written notice to the Customer if the Customer fails to pay any amount due under the Agreement on the due date for payment.

8. CONSEQUENCES OF TERMINATION

8.1 On termination or expiry of the Agreement for any reason, any provision of the Agreement that expressly or by implication is intended to come into or continue in force on or after termination of the Agreement shall remain in full force and effect.

8.2 Termination of the Agreement shall not affect any of the rights, remedies, obligations, or liabilities of E-Book Franchise Empire that have accrued up to the date of termination, including the right to claim damages in respect of any breach of the Agreement that existed at or before the date of termination.

Copyright

All text, graphics, photographs, or other images, button icons, audio clips, logos, slogans, trade names, or word software, and other contents on the website of E-Book Franchise Empire (collectively, “Content”), belong exclusively to E-Book Franchise Empire or its appropriate content suppliers. You may not use, reproduce, copy, modify, transmit, display, publish, sell, license, publicly perform, distribute, or commercially exploit any of the Content or otherwise dispose of any of the Content in a way not permitted by E-Book Franchise Empire, without E-Book Franchise Empire's express prior written consent. The use of data mining, robots, or similar data gathering and extraction tools on E-Book Franchise Empire, as well as the use of E-Book Franchise Empire trademarks or service marks in meta-tags, is strictly prohibited. You may view and use the Content only for your personal information and for shopping and ordering on the site and for no other purpose. These conditions are governed by and interpreted in accordance with the laws of Malaysia, and Parties agree to submit to the exclusive jurisdiction of the courts in Malaysia.

Remedies

No right or remedy of E-Book Franchise Empire shall be exclusive of any other, whether at law or in equity, including, without limitation, damages, injunctive relief, attorneys’ fees, and expenses. No instance of waiver by E-Book Franchise Empire of its rights or remedies under these terms and conditions shall imply any obligation to grant any similar, future, or other waiver.
